Oversees corporate activities and transactions, government filings, document drafting and Board of Directors meetings. Builds productive relationships with legal counsel, Board and Committee members, and delivers exceptional administrative service through responsive, accurate and knowledgeable support.

$82,800.00 - $154,800.00

Salaries will vary based on factors such as location, skills, experience, education, and qualifications for the role, and may include a commission structure. Salaries for part-time roles will be pro-rated based on number of hours regularly worked. For commission roles, the salary listed above represents BMO Financial Group's expected target for the first year in this position.
BMO Financial Group's total compensation package will vary based on the pay type of the position and may include performance-based incentives, discretionary bonuses, as well as other perks and rewards. - Acts as Corporate Secretary for a portfolio of BMO Subsidiaries.
- Maintains corporate records and registrations.
- Plans, attends and executes Board and Board Committee meetings, including review and coordination of agendas with various stakeholders, coordination of the Board and Board Committee meeting material mailing process, meeting minutes scribing, and follow-up trackers.
- Manages timeline of activities and monitors calendar of scheduled appointments and meetings.
- Prepares correspondence, reports and other documents as required.
- Develops and maintains filing systems; ensures business/ operational reports, forms and other documentation, paper or electronic, are readily available.
- Coordinates internal/ external audits relevant to Portfolio entities and provides process and research support, such as personal property security and corporate searching.
- Maintains BMO Corporate Governance website and certifies accuracy of portfolio information in Global Entity Management System (GEMS).
- Certifies completion of compliance procedures, legal documents, and documentation to support various transactions.
- Coordinates governance aspects of internal funding transactions.
- Applies working knowledge and practical knowledge of laws/legislation relevant to corporate practice, including Business Corporations Act (Ontario), Canada Business Corporations Act, Partnerships Act and Corporations Information Act.
- Handles sensitive/ confidential Bank information while minimizing risk.
- Operates effectively in a high stress environment with constantly changing expectations.
- Privy to sensitive and confidential Bank Matters which may impact the Bank's reputational risk.
- Provides specialized support to ensure compliance with regulatory requirements relevant to corporate legal and governance function.
- Exercises judgment to identify, diagnose, and solve problems; highly organized.
- Works independently and regularly handles non-routine situations.
- Broader work or accountabilities may be assigned as needed.
Qualifications:
- Typically 10+ years of post qualification corporate governance experience gained in the corporate team of a leading law firm and/or a major corporation.
- Experience in a regulated environment an asset, including the securities and banking industries and conversant with applicable legislation and regulation
- Transactional experience an asset.
- Post-secondary education e.g. Law Clerk certificate, ICSA and/or Canadian or foreign law degree an asset.
- Deep knowledge and technical proficiency gained through extensive education and business experience.
