Reporting to the Deputy General Counsel, Governance & Operations, this role supports the Board of Directors and its Committees by enabling effective governance processes, and ensuring seamless coordination of all Board activities.
This position will require occasional in-person attendance in our Toronto office. #Li-Hybrid
What you will do
The expected base salary range for this position is $88,00 to $133,200 and may be eligible for bonus awards. The determination of an applicant's base salary within this range is based on the individual's location, skills & competencies, and unique qualifications. What you will do
- Support the Board of Directors and Committees by coordinating annual and ad-hoc governance processes, including meeting scheduling, agendas, materials, and follow-up actions.
- Attend all Board and Committee meetings, ensuring quorum verification, notice compliance, accurate recording of minutes, and timely distribution of materials.
- Maintain governance and partnership records, including minutes, resolutions, terms of reference, and applicable filings, ensuring compliance with legal and regulatory requirements.
- Serve as a strategic liaison between the Board, senior leadership, and key internal stakeholders to ensure effective communication and alignment with firm priorities.
- Support Board member onboarding, continuous education, competency tracking, and annual evaluations.
- Safeguard highly sensitive and confidential information to protect legal, operational, and reputational integrity.
- Implement and manage technology solutions to improve Board processes, workflows, and document management.
- Post-secondary education in law, business, governance, or a related field.
- Experience in a similar governance-focused role, within a complex organization.
- Knowledge of governance best practices, board processes, and regulatory or compliance standards.
- Ability to manage governance processes end-to-end, including meeting planning, agenda development, accurate minute-taking, action tracking, and maintaining governance documentation.
- Demonstrated proficiency with Microsoft Copilot and the Microsoft 365 suite, leveraging technology to enhance board operations, productivity, streamline workflows, and support effective meeting management.
- Strong organizational skills with the ability to manage sensitive information and competing priorities with discretion.
- Exceptional written communication skills, including minute-taking and preparing governance documentation.
